This Vendor Contract (referred to as "Contract") is made and entered into between Enchanted Realms Book Festival LLC (referred to as “Enchanted Realms”) and the signatory (referred to as “Vendor”) at the end of this contract for the following event (referred to as “Event”):
Event Date: Saturday, October 11th 2025
Event Hours: 10:00 AM to 6:00 PM PST
Event Location: Autry Museum of the American West (Outside Lawn)
4700 Western Heritage Way, Los Angeles, CA 90027
Upon receiving this signed contract and payment from the Vendor, Enchanted Realms agrees to provide the Vendor with a designated space (referred to as “Booth”) at the event location to sell products/services. Spaces will be assigned prior to the event and will be properly marked upon arrival.
1. VENDOR BOOTH PAYMENT
Participation Fee: The Vendor agrees to pay a participation fee of $200.00 for the assigned vendor space. Payment is due upon submitting this contract.
2. PARTICIPATION AGREEMENT
Operating Hours: The Vendor will have their Booth space set up and staffed for customers for the entire duration of the Event and may not dismantle or close display until the official closing time, unless otherwise agreed upon and authorized by Enchanted Realms.
Equipment: The Vendor agrees to provide their own equipment, including tables, chairs, tents, signage, and any other supplies needed (Rental options available through Enchanted Realms at the expense of the Vendor).
Decorations: The Vendor agrees to decorate their Booth, to the best of their ability and aligned with their business, to fit the fantasy theme of the event.
Products/Services: The Vendor agrees not to sell or promote any products/services that do not fit within the theme of the event, unless prior written consent is obtained from Enchanted Realms.
Vendor Space: The Booth is for Vendor’s use only (including its employees); any transfer, resale, or assignment of the Booth by Vendor is prohibited. The aisles and passageways remain strictly under the control of Enchanted Realms and no signs, decorations, banners, advertising materials or special exhibits will be permitted in the aisles outside of Vendor's space unless previously agreed upon. Any and all advertising distribution must be made from the Vendor's provided space.
3. CANCELLATION AND REFUNDS
The Event will proceed regardless of weather, rain or shine!
Cancellations: The Vendor agrees to submit a formal cancellation in writing to Enchanted Realms.
Participation Fee Refunds:
100% Refund = Cancellations made by the Vendor by August 12, 2025
50% Refund = Cancellations made by the Vendor by September 11, 2025
No Refund = Cancellations made by the Vendor after September 11, 2025
If the festival is canceled by Enchanted Realms for any reason, the Vendor will receive a full refund of the participation fee.
4. PERMITS AND LICENSING
Seller's Permit: Vendor should have a temporary or permanent seller's permit for the State of California by the time you vend with Enchanted Realms. For assistance, please see: http://cdtfa.ca.gov/
Food/Non-Alcoholic Beverages: If Vendor sells food and/or non alcoholic beverages at the Event, the following terms apply: Enchanted Realms reserves the right to review and approve Vendor’s proposed menu, and only the approved items will be allowed at the Event. Enchanted Realms will also need a copy of the Food Vendor's Certificate of Insurance, and the City of Los Angeles Temporary Food Facility Permit application.
CBD Products: If Vendor is selling CBD products, the THC content must remain below the federally legal content rate of .3%. Additionally, Vendor must also comply with any regulation that is specific to the city and state of the event location.
5. INSURANCE AND LIABILITY
Insurance: Vendor represents that it has, or will have at the time of the Event, appropriate insurance to cover liability for the types of activities Vendor will conduct at the Event, Vendor covenants to be fully responsible for any of its liabilities, actions, or omissions, and will indemnify, defend, and hold Enchanted Realms (and its officers, employees, agents, vendors, affiliates, and representatives) harmless against any claims related to Vendor’s liabilities, actions, or omissions.
Liability: Enchanted Realms and its subcontractors will not be responsible for any loss or damage to Vendor's property, injury to, or death of the Vendor (or its agents, employees, and/or personnel), or Vendor sales. Vendor expressly assumes all risks of loss, damage, liability, injury, or destruction resulting from any cause whatsoever, including but not limited to acts or omissions by Vendor, and hereby releases and waives any claims against Enchanted Realms or its subcontractors related to such loss, damage, liability, injury, and/or destruction.
Indemnification: The Vendor agrees to indemnify and hold harmless Enchanted Realms, its agents, employees, and volunteers from any claims, damages, or expenses arising from the Vendor’s activities at the festival, including but not limited to any injury, theft, or damage caused by the Vendor's products or conduct.
6. EVENT PROMOTION
The Vendor agrees to allow Enchanted Realms to use their name, brand, or photos of their booth and products in promotional materials, including on websites, social media, and print leading up to and on the day of the Event.
7. CONTRACT TERMS
Termination: Enchanted Realms reserves the right to terminate this Contract immediately if the Vendor fails to comply with the terms of this Contract or engages in conduct that is detrimental to the event.
Change in Terms: The terms of this Contract may be changed by Enchanted Realms and notice of such changes will be sent to you in writing. The Vendor agrees to accept notices via email, sent to the email address provided.
Right to Refuse: Enchanted Realms reserves the right to decline, prohibit, or expel any Vendor exhibit, or prevent any activity, displays, product or conduct, which (In Enchanted Realms sole judgement) is out of keeping with the character of the Event or endangers the venue, any attendee or other Vendors.
Independent Contractors: The relationship of Vendor to Enchanted Realms is that of an independent contractor, and nothing contained in this Contract will be construed as creating a partnership, joint venture, employment relationship, agency, or other relationship between the parties, or to make Enchanted Realms liable for the debts or obligations of the Vendor.
Governing Law: This Contract shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of law principles.
Force Majeure: Neither party shall be held liable for any failure to perform under this Contract due to causes beyond their reasonable control, including but not limited to natural disasters (hurricanes, earthquakes, or fires), government restrictions, or public health emergencies.
This Contract represents the entire understanding between Enchanted Realms Book Festival LLC (referred to as “Enchanted Realms”) and the signatory (referred to as “Vendor”) with respect to the subject matter hereof and supersedes all prior discussions, Contracts, or understandings, whether written or oral.
